Technology Transactions
We advise businesses on complex technology transactions and strategic commercial relationships. We regularly draft and negotiate a wide array of information technology agreements tailored for the Canadian market.
Our work includes software and SaaS agreements, cloud services technology procurement, licensing strategic technology agreements, data processing and privacy, complex commercial negotiations, service level agreements (SLAs) and cloud computing agreements, statements of work (SoWs), domestic and international outsourcing contracts, IT distribution agreements (such as Value-Added Reseller (VAR) and Original Equipment Manufacturer (OEM), joint development agreements, IT professional services contracts, agreements for sales of hardware, semiconductors, and semiconductor IP.
Our technology practice is informed by first-hand experience working in and building technology businesses.
We also navigate the legal complexities specific to e-commerce and the business of the Internet in Canada. This includes advising on data security, addressing online trademark and copyright issues (including fair dealing principles), and ensuring compliance with anti-spam legislation like Canada's Anti-Spam Legislation (CASL). We negotiate and draft a variety of e-commerce contracts, such as Internet co-location and hosting agreements, ISP terms of service, online service level agreements (SLAs), acceptable use policies (AUPs), and link-exchange agreements.
